Overview
A national law firm with a sophisticated Investment Management & Funds practice is seeking a seasoned Investment Funds Associate Attorney to join its team across multiple U.S. offices. This is an opportunity for a senior-level attorney to handle complex, high-value fund formation and structuring matters for a diverse client base that includes private equity sponsors, hedge fund managers, credit funds, and other alternative investment vehicles. The practice is known for its technical depth, collaborative culture, and market-leading work in the funds space.
What you'll do
- Advise fund sponsors and investment managers on the formation, structuring, and launch of investment funds across multiple asset classes
- Draft and negotiate fund documentation, including private placement memoranda, limited partnership agreements, operating agreements, and subscription materials
- Counsel clients on regulatory compliance matters under federal and state securities laws
- Provide ongoing advice regarding fund operations, governance, and investor relations
- Collaborate with colleagues across tax, regulatory, and transactional teams to deliver comprehensive legal solutions
- Stay current on regulatory developments impacting the investment management industry
Required qualifications
- JD from an ABA-accredited law school with an excellent academic record
- Active Bar Admission in the relevant jurisdiction, in good standing
- Significant experience in investment fund formation, structuring, and ongoing regulatory compliance
- Deep knowledge of private equity funds, hedge funds, credit funds, and other alternative investment vehicles
- Experience advising sponsors and managers on fund governance, disclosures, and regulatory matters
- Strong familiarity with U.S. investment management regulations, including the Investment Advisers Act of 1940 and related SEC requirements
- Ability to manage complex matters independently and serve as a trusted advisor to sophisticated clients
- Excellent oral and written communication skills, sound judgment, and a client-focused approach
Preferred qualifications
- Large law firm experience strongly preferred
Compensation and benefits
- Compensation: $300,000–$520,000, as determined by experience and market factors
