Overview

A nationally recognized large law firm is seeking a mid-level Associate Attorney to join its Mergers & Acquisitions and Corporate Finance practice in Atlanta. This is an opportunity to work within a sophisticated, fast-paced transactional group handling complex domestic and cross-border M&A matters, with a strong emphasis on private equity transactions and private-company acquisitions, offering significant client exposure and the chance to collaborate with experienced deal professionals on high-value transactions.

What you'll do

  • Represent clients in mergers, acquisitions, divestitures, and other strategic corporate transactions, with a focus on private equity-sponsored deals
  • Manage all phases of M&A transactions, including structuring, diligence, drafting, negotiation, and closing
  • Draft and negotiate purchase agreements, ancillary agreements, and transaction documentation
  • Lead and coordinate legal due diligence efforts, including supervising junior attorneys and synthesizing findings for clients
  • Serve as a key point of contact for clients and external advisors throughout the transaction lifecycle
  • Collaborate with attorneys across corporate, tax, finance, and regulatory disciplines to deliver integrated legal solutions

Required qualifications

  • JD from a top-tier law school with an excellent academic record
  • Active Bar Admission in Georgia, in good standing
  • 4–6 years of substantive experience handling mergers and acquisitions and complex corporate transactions
  • Sophisticated law firm experience advising on complex M&A and corporate finance matters
  • Strong experience managing private equity transactions and private-target M&A
  • Proven ability to manage complex deal timelines, coordinate with subject matter experts and junior team members, and oversee transaction workflows from diligence through closing
  • Experience drafting and negotiating equity and asset purchase agreements, disclosure schedules, and ancillary transaction documents
  • Extensive experience conducting, analyzing, and summarizing legal due diligence
  • Exceptional attention to detail and the ability to interact effectively with clients, investment bankers, and other external advisors
  • Excellent written and oral communication skills, strong analytical abilities, and the capacity to distill complex legal issues into practical, actionable advice
  • Demonstrated ownership mentality, strong work ethic, and the ability to manage multiple priorities in a demanding environment
