Overview

A premier large law firm is seeking a mid-level Associate Attorney to join its high-performing Debt Finance Practice Group. The role focuses on complex, high-value debt financing transactions for elite private equity sponsors, direct lenders, and financial institutions across a range of industries and deal structures. This hybrid position is based across multiple offices, including Philadelphia, PA, Boston, MA, Washington, DC, Los Angeles, CA, San Francisco, CA, Silicon Valley, CA, Santa Monica, CA, and New York, NY.

What you'll do

  • Represent private equity sponsors and financial institutions in sophisticated debt finance transactions, including leveraged buyouts, dividend recapitalizations, and other acquisition financings
  • Draft, negotiate, and manage key financing documents such as commitment letters, credit agreements, and security agreements
  • Advise clients on structuring and execution of senior, mezzanine, and unitranche facilities
  • Collaborate with colleagues across private equity, M&A, tax, and restructuring teams to deliver comprehensive transactional support
  • Serve as a key contributor throughout all stages of transactions, from term sheet negotiations through closing

What you'll need

  • JD from a top-tier law school with a strong academic record
  • Active Bar Admission in the relevant jurisdiction, in good standing, or eligibility to obtain admission promptly
  • 3–5 years of substantive experience representing private equity sponsors, banks, and/or private credit lenders in leveraged finance transactions
  • Demonstrated expertise in structuring, drafting, and negotiating term and revolving credit facilities for leveraged buyouts, acquisition financings, and corporate growth
  • Strong proficiency in drafting and negotiating commitment letters, credit agreements, and collateral documents
  • Prior experience at an AmLaw 100 or similarly sophisticated firm preferred
  • Excellent communication, organizational, and analytical abilities; experience managing complex workstreams and coordinating with multiple stakeholders; proven ability to thrive in a fast-paced, high-performance environment

Compensation and benefits

  • Annual base salary expected to range from $260,000 – $365,000, depending on experience, qualifications, and market factors
